Heritage Overton Constitution
Adopted at the Annual General Meeting of the Overton Society on 14 October 1970, with revisions adopted at an Extraordinary Meeting of 24 April 1985 and ratified by the Annual General Meeting of 27 November 1985 and at the meeting on 26 September 2001 and ratified at the Annual General Meeting of 28 November 2001. It was further amended at the Annual General Meeting of 26th November, 2003. This was further amended to include a change of title to Heritage Overton at the Annual General Meeting of 12th February 2019.
- The Society formerly known as “The Overton Society” shall be known as “Heritage Overton ”.
- The object of Heritage Overton is to encourage and promote interest and research in Overton heritage – built, natural and cultural.
- Membership of Heritage Overton is open to any local resident on payment of an annual subscription as decided at each Annual General Meeting. The subscription year will run from 1st January.
- The Officers of Heritage Overton shall be Chairman, Vice-Chairman, Secretary and Treasurer. They shall be elected every year at the Annual General Meeting but a casual vacancy occurring during the year shall be filled at the next Managing Committee meeting of Heritage Overton.
- A Managing Committee shall consist of the Officers and up to five other members of Heritage Overton elected at the Annual General Meeting. The Committee may co-op to vacancies during the year as occasion arises.
- (1) The Annual General Meeting shall be held in February.
- An Extraordinary Meeting of Heritage Overton may be called by the Managing Committee or by any six paid-up members, and at least 14 days notice of any extraordinary meeting shall be given to every member.
- At the AGM or EGM there shall be a quorum if at least a third of members are present.
- The Accounts of Heritage Overton shall be examined and presented at the Annual General Meeting.
- Any provision of the Constitution may be amended by the vote of a majority of the members present at any meeting but no such amendment shall take effect until it has been ratified by a majority of the members present at an Annual General Meeting.
